Terms of Service

1. Introduction and Acceptance

Welcome to the HRGs human resource management system. By accessing the official website at hrgs-csv.com, registering an account, or using any feature of our Software-as-a-Service (SaaS) platform, you confirm that you have read, understood, and agree to be fully bound by these Terms of Service.

If you act on behalf of an organization or corporate customer, you represent that you have full legal authority to bind that organization to the commercial terms agreed with Cube System Vietnam Co., Ltd. If you do not agree with any provision, please stop using the service immediately.

2. Service Description

HRGs is a comprehensive human resource management solution delivered as Software as a Service (SaaS), developed and operated directly by Cube System Vietnam.

3. Eligible Users and Accounts

The HRGs service is available only to users aged 18 or older who are designated and authorized by the enterprise that owns the applicable tenant. If a tenant stores records relating to workers under 18, the enterprise customer must establish a lawful basis, provide any required notice or obtain authorization from the legal representative where required, and apply appropriate safeguards.

Users are solely responsible for keeping their login credentials, including usernames and passwords, confidential. All activity conducted through an account is deemed the direct responsibility of the individual account holder and the enterprise administering that account. Please notify us immediately if you detect any sign of unauthorized access.

4. Acceptable Use Rules

When using HRGs, you agree to comply strictly with information security rules and not to engage in any of the following prohibited conduct:

• Using the system for any unlawful purpose or intentionally violating Vietnamese labor or cybersecurity laws.
• Attempting to gain unauthorized access to or interfere with the isolated databases of other customer tenants (tenant bypass).
• Distributing malware, viruses, or harmful programs that compromise Cube System Vietnam's server infrastructure.
• Uploading documents, images, or text that are defamatory, abusive, or contrary to accepted public morals.
• Using automated tools such as bots or crawlers to extract HRGs data in an abnormal or unauthorized manner.

5. Intellectual Property Rights

All intellectual property incorporated into HRGs, including without limitation software source code, graphical interface designs, automated attendance algorithms, database structures, logos, and service marks, is the exclusive property of Cube System Vietnam and its applicable licensors.

Conversely, all input data submitted by a customer, including employees' personal information, corporate payroll data, and attached files, remains the lawful property of the enterprise customer that owns the relevant tenant.

6. Personal Data

The processing and storage of personal information on HRGs are governed by our Privacy Policy, Vietnam's Law on Personal Data Protection No. 91/2025/QH15, Decree No. 356/2025/ND-CP, and other applicable Vietnamese law. Cube System Vietnam's role, processing purposes, retention periods, data-subject rights, and incident-response procedures are described in the Privacy Policy and the data processing agreement applicable to each customer.

7. Availability and Maintenance

We use our best efforts to keep HRGs continuously available and stable, 24 hours a day, seven days a week. The service may nevertheless be temporarily interrupted for scheduled maintenance, feature upgrades, or emergency remediation.

8. Limitation of Liability

To the fullest extent permitted by Vietnamese law, Cube System Vietnam will not be liable for any indirect or incidental damages, loss of revenue or profit, or interruption of a customer's business arising directly from the use of, or inability to use, the HRGs platform.

For proven direct losses, Cube System Vietnam's aggregate liability arising from or relating to the service will not exceed the service fees actually paid by the customer for HRGs during the 12 months immediately preceding the event giving rise to liability. This limit does not apply where mandatory law prohibits limitation or to fraud, willful misconduct, or breaches of confidentiality or personal-data protection obligations.

9. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, epidemic, war, government action, widespread telecommunications or power disruption, and large-scale cyberattacks that could not reasonably have been prevented. The affected party must give prompt notice, mitigate the impact, and restore performance within a reasonable period.

10. Suspension, Termination, and Post-Termination Data

We may suspend or terminate access for a material breach of security rules, payment obligations, or prohibited conduct under these Terms. Except where immediate action is required to prevent harm, comply with law, or address a security risk, we will give notice and a reasonable opportunity to cure.

During the contract and for 30 days after termination, the customer may request an export of tenant data in a commonly used electronic format, subject to technical capability and the service agreement. After that period, production data will be deleted or anonymized within 60 days, and backups will expire through the backup cycle within no more than 90 days, except for data retained under law, a valid government request, or an active dispute.

11. Changes to These Terms

These Terms are reviewed at least annually and whenever material legal or service changes occur. Each update carries a version number and updated date. We will publish the new version here and notify tenant administrators by email or an in-product notice before it takes effect; changes materially affecting customer rights will be notified a reasonable time in advance.

12. Governing Law, Disputes, and Language

Any dispute or claim arising from the operation or use of HRGs is governed by the laws of the Socialist Republic of Vietnam. The parties will first attempt good-faith negotiation; unresolved disputes will be submitted to a court of competent jurisdiction in Ho Chi Minh City unless mandatory law or an executed customer agreement provides otherwise.

The Vietnamese version is the controlling version of these Terms. English and Japanese translations are provided for convenience; if they conflict, the Vietnamese version prevails unless mandatory law or an executed customer agreement states otherwise.
